Visionder Terms

These Terms govern your access to and use of Visionder, including its founder identity, startup, investor discovery, workspace and related services.

By creating a Visionder or otherwise using authenticated Visionder services, you agree to these Terms and acknowledge the Visionder Privacy Policy.

1. What Visionder is

Visionder is a founder operating ecosystem designed to help people build and organize their startup journey, work with other founders, discover relevant investors and opportunities, and manage activity connected to what they are building.

Visionder may provide public and authenticated areas. Certain information may therefore be visible without a Visionder account, while personal workspaces, saved activity and other features may require authenticated access.

2. Your Visionder

A Visionder represents an individual founder identity within the platform. You must provide accurate information and must not create, control or use an identity intended to impersonate another person or misrepresent who you are.

You are responsible for keeping information associated with your Visionder reasonably accurate and up to date.

You may not transfer, sell or give another person control of your Visionder in a way that misrepresents the identity behind it.

3. Access and account security

Visionder may use Passkeys, trusted-device continuity, recovery mechanisms and server-side sessions to protect access to your Visionder.

You are responsible for protecting the devices, Passkeys, Recovery Keys and other credentials associated with your access.

You must not intentionally share a Recovery Key or other private authentication credential with an unauthorized person.

If you believe your Visionder, device or authentication material has been compromised, you should take the available recovery or security actions as soon as reasonably possible.

4. Startups and founder collaboration

Visionder may allow users to create or join startups and to collaborate with other founders inside shared startup spaces.

The existence of a startup, founder relationship, role or collaboration inside Visionder does not by itself establish legal ownership, employment, partnership, corporate authority, equity ownership or any other legal relationship between the people involved.

Founders remain responsible for documenting ownership, corporate roles, intellectual property, equity and other legally significant arrangements through appropriate external agreements and records.

5. Investor discovery

Visionder may provide investor, accelerator, program, grant, venture studio and other funding-related information for discovery purposes.

Some listings may be compiled from publicly available information. A listing does not imply that the listed person or organization is affiliated with, endorsed by, partnered with, sponsored by or otherwise connected to Visionder unless expressly stated.

You should verify important information with the relevant organization or its official sources before making decisions, applying, sharing confidential information or entering into any transaction.

Visionder does not guarantee that an investor will respond, review a startup, arrange a meeting, make an investment or provide funding.

Investor discovery information does not constitute investment, financial, legal or tax advice.

6. External services and links

Visionder may link to websites, applications or services operated by third parties.

Those services are controlled by their respective operators and may have their own terms and privacy practices. Visionder is not responsible for the availability, security, accuracy or conduct of an external service solely because it is linked from Visionder.

7. Content you provide

You remain responsible for content and information you submit to Visionder, including startup information, founder information, descriptions, notes, images and other material.

You retain any rights you hold in your content.

By submitting content, you grant Visionder a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display and otherwise use that content only as reasonably necessary to operate, secure, provide and improve Visionder and the features you choose to use.

Where content is designated private or workspace-only, Visionder will not treat that designation as permission to make the content public.

You represent that you have the rights and permissions necessary to provide the content you submit.

8. Public information

Certain Visionder features may allow information to be intentionally published or made visible to other users or to the public.

Before publishing information, you are responsible for ensuring that it does not contain confidential information, trade secrets, private communications, credentials, sensitive personal data or information that you are not authorized to disclose.

9. Acceptable use

You may not use Visionder to:

• impersonate another person or organization;
• create deceptive, fraudulent or materially misleading identities or startup information;
• harass, threaten, defame or unlawfully target another person;
• publish information that you do not have the right to disclose;
• upload malicious code or intentionally interfere with Visionder systems, security or availability;
• attempt to bypass authentication, authorization, rate limits or security controls;
• access another person's Visionder, workspace or private information without authorization;
• scrape, extract or systematically collect protected or non-public Visionder information without authorization;
• use Visionder in violation of applicable law.

10. Moderation and platform integrity

Visionder may investigate, restrict, hide or remove content or activity when reasonably necessary to protect users, platform integrity, security, legal rights or compliance with these Terms or applicable law.

Visionder may also restrict or suspend access where there is evidence of fraud, impersonation, abuse, unauthorized access, serious security risk or repeated violation of these Terms.

Where appropriate and legally required, Visionder may provide information about significant moderation or account actions and available methods of review or appeal.

11. Visionder intellectual property

Visionder and its software, visual identity, interfaces, designs, branding, original platform content and related intellectual property are protected by applicable intellectual property laws.

These Terms do not transfer ownership of Visionder intellectual property to you.

You may use Visionder only through the access and functionality provided by the service, except where applicable law expressly permits otherwise.

12. Availability and changes to the service

Visionder may evolve over time. Features may be introduced, modified, reorganized, limited or discontinued as the product develops.

Visionder does not guarantee uninterrupted or error-free availability. Temporary interruptions may occur because of maintenance, security measures, technical failures or events outside reasonable control.

13. No guarantee of startup outcomes

Visionder provides tools, information and infrastructure for founders. It does not guarantee startup formation, commercial success, investor interest, fundraising, partnerships, employment, revenue or any other business outcome.

Decisions made using information available through Visionder remain your responsibility.

14. Suspension and termination

You may stop using Visionder at any time.

Visionder may suspend or terminate access where reasonably necessary because of serious or repeated violations of these Terms, unlawful activity, fraud, security threats or misuse of the service.

Account closure, deletion and retention of associated data are also subject to the Visionder Privacy Policy and any applicable legal obligations.

15. Disclaimer

Visionder is provided on an as-available basis. To the extent permitted by applicable law, Visionder does not make warranties that all information, third-party listings, external links or platform functionality will always be complete, current, accurate, uninterrupted or error-free.

Nothing in these Terms excludes rights or protections that cannot lawfully be excluded.

16. Liability

To the maximum extent permitted by applicable law, Visionder is not responsible for indirect or consequential loss arising solely from reliance on third-party information, external services, investor listings or decisions independently made by users.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by applicable law.

17. Privacy

The processing of personal data associated with Visionder is described separately in the Visionder Privacy Policy.

The Privacy Policy forms an important part of understanding how Visionder operates, but these Terms and the Privacy Policy serve different purposes.

18. Changes to these Terms

Visionder may update these Terms when the service, legal requirements or platform practices materially change.

Where a material update requires renewed acceptance or another action from you, Visionder may ask you to complete that action before continuing to use affected authenticated services.

19. Applicable rights

These Terms do not remove mandatory rights that apply to you under applicable law.

Additional operator, jurisdiction or dispute information may be provided where required by the legal structure through which Visionder is operated and the location in which its services are offered.
